Terms of Use

These terms govern your use of the Stackfi protocol and interface. Please read them carefully before trading or launching a fund.

1. Nature of the protocol

Stackfi is a set of non-custodial smart contracts deployed on Ethereum mainnet, together with an open-source web interface for interacting with them. Stackfi is not a broker, exchange, bank, custodian, or investment adviser. You transact directly with on-chain contracts using your own wallet. At no point does Stackfi take custody of your assets or private keys, and no party can freeze, seize, or reverse your positions.

2. Eligibility and jurisdiction

You are responsible for ensuring that your use of Stackfi is lawful where you live. Access may be blocked, and equity-bearing funds geo-gated, in jurisdictions where tokenized securities are restricted. You represent that you are not a resident of, or accessing from, a prohibited or sanctioned jurisdiction, and that you are of legal age to enter binding contracts.

3. Tokenized assets

Funds are composed of assets that are already tokenized by third-party issuers (for example, tokenized US equities from regulated issuers, major cryptocurrencies, and stablecoins). Stackfi does not issue, redeem, or guarantee these underlying tokens. Tokenized stocks generally carry no shareholder voting rights; dividends, where applicable, are passed through by the issuer via rebasing or distribution and depend entirely on that issuer honoring its obligations.

4. Fees

Trading a fund incurs a fixed, protocol-wide 1% subscription fee and 1% redemption fee; funds also accrue a 2% annualized management fee. These rates are the same for every fund and are not configurable by the fund creator. All fees are displayed before you confirm a transaction. Network (gas) costs are paid to the Ethereum network and are outside Stackfi's control.

5. Fund creators

Anyone may launch a fund. Creators set the constituent basket and weights, and may rebalance target weights over time within protocol limits. Fees are fixed protocol-wide and are not set by the creator. Creators cannot pause redemptions, mint units without depositing backing assets, or withdraw reserves. Creators are solely responsible for their strategy, disclosures, and any representations they make about a fund. Stackfi does not endorse or vet listed funds.

6. Compliance and identity

The base protocol is permissionless. However, funds that hold tokenized equities may require geographic eligibility and identity verification (KYC) consistent with the issuer's requirements and your jurisdiction. Where enforced, these checks gate cash subscriptions only. In-kind redemption of assets you already hold always remains open.

7. No investment advice

Nothing on Stackfi is financial, legal, tax, or investment advice. Fund names, categories, descriptions, and any performance data are for information only and are not a recommendation. You are solely responsible for evaluating the merits and risks of any transaction, and for your own tax and regulatory reporting obligations.

8. Assumption of risk

Digital assets are volatile and on-chain software can contain bugs. By using Stackfi you acknowledge and accept the risks described on our Risk disclosure page, including market, issuer, oracle, liquidity, smart-contract, and regulatory risk. You may lose some or all of the value you commit.

9. No warranty; limitation of liability

The protocol and interface are provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, Stackfi and its contributors are not liable for any loss of profits, assets, or data, or for any indirect, incidental, or consequential damages arising from your use of the protocol, oracle failures, third-party issuers, or network conditions.

10. Changes to these terms

These terms may be updated as the protocol evolves. Material changes will be reflected here with an updated date. Continued use after changes take effect constitutes acceptance. If you do not agree, discontinue use of the interface.
